North Dakota Name Search, Selection and Registration

  • The S Corporation is a recognized entity.
  • Initial filing fees may be adjusted if shares or par value increases.
  • The Board must have a minimum of one director.
  • There is no place-of-residence requirement.
  • A director must be 18 years of age, or older, and a natural person (human being).
  • Articles of incorporation require names of directors to be listed.
  • Articles of incorporation do not require names of corporate officers to be listed.
  • Minutes of all shareholder meetings as well as a list of shareholders must be available for inspection at the registered office or the corporate headquarters.
